1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between you and TuringX (OPC) Pvt Ltd (“TuringX”, “Nexus”, “we”, “us”, or “our”) governing your access to and use of the Nexus website and the Nexus platform, including all associated features, APIs, dashboards, datasets, and services (collectively, the “Service”).
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, in which case “you” refers to that organization.
2. Eligibility and Authority
Use of the Service is limited to individuals who are at least 18 years of age and capable of entering into legally binding agreements. By using the Service, you represent and warrant that you meet these requirements and that your use of the Service does not violate any applicable laws or regulations.
3. Nature of the Service
Nexus provides an operational intelligence platform designed to ingest, process, and visualize data from a variety of sources, including APIs, databases, and files. The Service enables users to create datasets, build dashboards, configure alerts, and derive operational insights.
The Service operates on data provided by users and does not independently verify the accuracy, completeness, or legality of such data. Nexus is a tool for processing and presenting data and does not serve as a source of truth or compliance mechanism.
4. Account Registration and Responsibilities
To access the Service, you are required to create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. TuringX shall not be liable for any loss or damage arising from your failure to safeguard your credentials.
5. License and Use Rights
Subject to your compliance with these Terms, TuringX grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service during the term of your subscription.
This license does not grant you any ownership rights in the Service or any underlying technology. All rights not expressly granted are reserved by TuringX.
6. Restrictions on Use
You agree not to misuse the Service. This includes, but is not limited to, attempting to reverse engineer, decompile, or otherwise extract the source code of the Service; interfering with or disrupting the integrity or performance of the Service; accessing the Service through unauthorized means; or using the Service for any unlawful or prohibited purpose.
You further agree not to use the Service to store, process, or transmit any data that you do not have the legal right to use.
7. Data Ownership and Responsibility
You retain all rights, title, and interest in and to the data that you upload, ingest, or process through the Service (“Customer Data”). TuringX does not claim ownership over your data.
However, you acknowledge and agree that you are solely responsible for the legality, accuracy, and appropriateness of your data. You represent and warrant that you have all necessary rights, permissions, and legal bases to collect, process, and store such data, including compliance with applicable data protection laws such as the General Data Protection Regulation (GDPR), where applicable.
Nexus processes Customer Data solely on your behalf and in accordance with your instructions.
8. Data Processing Role
For the purposes of data protection laws, you act as the data controller and TuringX acts as the data processor. TuringX does not determine the purposes or means of processing Customer Data and does not assume responsibility for compliance obligations that apply to you as a controller.
9. Subscriptions, Billing, and Trial
Nexus offers a 21-day free trial for Core & Premium subscription plans. Upon expiration of the trial period, continued use of the Service requires a paid subscription.
Subscriptions are billed in advance on a recurring basis and will automatically renew unless canceled prior to the end of the billing cycle. If you cancel your subscription, your access to the Service will continue until the end of the current billing period, after which it will be terminated.
In the event of a failed payment, Nexus will provide a grace period of seven (7) days. If payment is not received within this period, access to the Service may be suspended until payment is successfully processed.
10. Refunds
Refunds are only applicable in cases where a user upgrades or downgrades their subscription plan. In such cases, refunds are calculated on a pro-rata basis based on the unused portion of the current billing cycle.
Refund requests are processed within three to five (3–5) working days, and the refunded amount is typically credited to the customer’s bank account within five to seven (5–7) working days after processing.
No refunds are provided for subscription cancellations, in which case you have the right to use the subscription until the end of billing cycle.
11. Service Levels and Availability
TuringX endeavors to maintain high availability of the Service and targets an uptime of 99.5% on a monthly basis. However, the Service may be unavailable from time to time due to scheduled maintenance, emergency maintenance, third-party service failures, or events beyond our reasonable control.
The Service is provided on a best-effort basis, and no service credits or financial remedies are guaranteed unless explicitly agreed upon in a separate enterprise agreement.
12. Security
TuringX implements commercially reasonable technical and organizational measures to protect the integrity and security of the Service and Customer Data. These measures include access controls, encryption in transit, and infrastructure-level protections.
However, no system can be guaranteed to be completely secure, and TuringX does not warrant that the Service will be free from vulnerabilities or breaches.
13. Data Retention
Customer Data is retained in accordance with the retention policies associated with your subscription plan. Nexus reserves the right to delete or archive data that exceeds retention limits or storage constraints defined by your plan.
You are responsible for exporting or backing up your data prior to termination or expiration of your account.
14. Indemnification
You agree to indemnify, defend, and hold harmless TuringX, its directors, employees, and affiliates from and against any claims, damages, liabilities, and expenses arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms or applicable laws.
15. Limitation of Liability
To the maximum extent permitted by law, TuringX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities.
In no event shall TuringX’s total liability exceed the amount paid by you to Nexus in the three (3) months preceding the claim.
16. Termination
TuringX reserves the right to suspend or terminate your access to the Service at any time if you violate these Terms, fail to make required payments, or pose a security risk to the platform.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.
